Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kerplexir platform, operated by Mercury Labs Inc. ("Kerplexir," "we," "us," or "our"), available at kerplexir.com and app.kerplexir.com.

By creating an account or using Kerplexir, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Account Registration

• You must be at least 16 years old to create an account.
• You must provide accurate, complete, and current information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at security@kerplexir.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

2. Subscriptions, Billing & Trials

2.1 Plans & Pricing

Kerplexir offers subscription-based plans (Content Blitzer, Aggressive Dominator, Programmatic Publisher) billed monthly or annually. Current pricing is displayed on our pricing page. We reserve the right to change pricing with 30 days' advance notice.

2.2 Trial Period

Every plan begins with a 3-day trial for $1. During the trial, you receive full access to all features included in your selected plan. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the listed price.

2.3 Credits

Your subscription includes a monthly credit allocation. Credits are consumed when you use platform features (chat messages, SEO tool runs, blog generation, image generation). Unused credits do not roll over to the next billing cycle unless otherwise stated. Purchased credit top-up packs do not expire.

2.4 Payment

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for all applicable taxes.

2.5 Cancellation & Refunds

• You may cancel your subscription at any time from your account dashboard.
• Cancellation takes effect at the end of your current billing period. You retain access until then.
• We do not provide pro-rated refunds for partial billing periods.
• If you cancel during your trial period, you will not be charged the full subscription price.

3. Acceptable Use

You agree not to use Kerplexir to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Create spam, misleading content, or content designed to manipulate search engine rankings through deceptive practices (e.g., keyword stuffing, cloaking, hidden text).
• Infringe on intellectual property rights of any third party.
• Impersonate any person or entity, or falsely represent your affiliation.
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected third-party services.
• Use automated scripts, bots, or scrapers to access Kerplexir beyond the provided API.
• Reverse engineer, decompile, or disassemble any part of Kerplexir.
• Resell, sublicense, or redistribute Kerplexir's services without written permission.

Violation of these terms may result in immediate account suspension or termination without refund.

4. Intellectual Property

4.1 Your Content

You retain ownership of all content you create using Kerplexir, including blog posts, outlines, and images. By using the platform, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing our services to you.

4.2 Our Platform

Kerplexir, including its design, code, AI models, features, and branding, is the property of Mercury Labs Inc. and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without our written consent.

4.3 AI-Generated Content

Content generated by Kerplexir's AI agents is provided to you under your subscription. You own the output and may use it for any lawful purpose. However, we do not guarantee that AI-generated content is unique, factually accurate, or free from errors. You are responsible for reviewing, editing, and fact-checking all content before publishing.

5. Third-Party Services & Data

Kerplexir integrates with third-party services including Ahrefs, Semrush, SimilarWeb, Google, OpenAI, Anthropic, Ghost, Webflow, Framer, and Webflow. Your use of these integrations is also subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

SEO data provided through Kerplexir (keyword volumes, difficulty scores, traffic estimates) is sourced from third-party APIs and may not be perfectly accurate. Use this data as guidance, not as guaranteed figures.

6. Service Availability & Modifications

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
• We may modify, update, or discontinue features of Kerplexir at any time. For material changes that negatively affect your use, we will provide 30 days' notice.
• We reserve the right to impose usage limits, rate limits, or restrictions to maintain platform performance and integrity.

7. Limitation of Liability

To the maximum extent permitted by law, Kerplexir and Mercury Labs Inc. shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities arising from your use of or inability to use the platform.
• Errors, inaccuracies, or omissions in AI-generated content.
• Actions taken by third-party services integrated with Kerplexir.
• SEO rankings or traffic outcomes resulting from content created with Kerplexir.

Our total aggregate liability for any claims arising from these Terms or your use of Kerplexir is limited to the amount you paid us in the 12 months preceding the claim.

8. Disclaimer of Warranties

Kerplexir is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The platform will meet your specific requirements.
• The platform will be uninterrupted, timely, secure, or error-free.
• AI-generated content will be accurate, complete, or reliable.
• Any content created with Kerplexir will achieve specific search engine rankings.

9. Indemnification

You agree to indemnify and hold harmless Mercury Labs Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of Kerplexir.
• Your violation of these Terms.
• Content you create, publish, or distribute using the platform.
• Your violation of any third-party rights.

10. Termination

• By you: You may close your account at any time from your dashboard or by contacting us.
• By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or our systems.
• Upon termination, your right to use Kerplexir ceases immediately. We will delete your data in accordance with our Privacy Policy.
• Sections on intellectual property, limitation of liability, disclaimers, and indemnification survive termination.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Kerplexir shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email. Your continued use of Kerplexir after changes constitutes acceptance of the updated Terms.
